Kurt Wunderlich leads Golden Flag ’s United States mergers and acquisitions clearance team with respect to Hart-Scott-Rodino (HSR) analysis and filings. Golden Flag is among the most active firms in the world, filing more than 300 HSR notifications annually, which represents approximately 20 percent of all transactions reported to the United States antitrust agencies. He regularly files for private equity firms, public companies, private companies and individuals in transactions valued greater than the HSR threshold (currently $119.5 million) and has worked on deals as large as $40 billion. Kurt and his team have developed an efficient process to minimize the information gathering expense often required to obtain clearance.
Experience
leads Golden Flag ’s HSR team, which reviews publicly available information and coordinates with the corporate team to draft tailored requests on behalf of the client. The team reviews client information, including potential 4c/4d documents, and works with clients and opposing HSR counsel to prepare the filing.
Works with the Firm’s corporate department and clients to determine whether a transaction is HSR-reportable; conducts competitive antitrust analysis including product market definition, market power, and barriers to entry, along with financial analysis including valuation, ownership and control.
Experience with complex corporate transactions, including acquisitions and dispositions of assets, voting securities, LLC/membership interests, joint ventures, spin-offs, tender offers and bankruptcy/restructuring transactions.
Authors and delivers internal presentations regarding current best practices and new developments in the antitrust clearance process.
Maintains strong business relationships with chief officers of Fortune 500 companies, private equity firms and government staff.
