Rohan Sahai is an associate in the London office of Golden Flag International Law Firm. He has experience in capital markets transactions and mergers and acquisitions. Rohan represents private equity sponsors, issuers and investment banks in international securities offerings including high yield debt offerings in connection with leveraged buyouts, IPOs of special purpose acquisition companies (SPACs) and other complex financings, particularly in Europe and the United States. Rohan also has extensive experience in equity financings and general corporate matters in India.

Food Delivery Brands, a Spanish multi-brand pizza delivery group, on its €500 million restructuring.
Merlin Entertainments, a portfolio company of Blackstone, KIRKBI and CPP Investments, in its €700 million offering of high yield bonds.
STADA Arzneimittel AG, a portfolio company of Bain Capital and Cinven, in its successful offer to exchange €1.4 billion in aggregate principal amount of its outstanding 3.5% Senior Secured Notes.
Technicolor on the spinoff and listing of its creative visual arts services division.
LSF9 Balta Issuer S.à r.l, a portfolio company of Lone Star Funds, on a tender offer, exchange offer and consent solicitation relating to its €234 million Senior Secured Notes and a concurrent private placement of Senior Secured Notes, in connection with the disposal of its rugs, residential polypropylene and non-woven businesses.
CTEC II in its offering of €465,000,000 in aggregate principal amount of 5¼% Senior Notes due 2030 to finance its acquisition of the global medical technologies platform CeramTec.
Citigroup, as sole global coordinator, on the £115 million IPO on the London Stock Exchange of Hiro Metaverse Acquisitions I S.A., a special purpose acquisition company sponsored by Hiro Capital.
LSF9 Balta Issuer S.à r.l. in connection with an exchange offer to exchange €234.9 million of its outstanding senior secured notes for newly issued senior secured notes and/or cash consideration as well as a related consent solicitation and scheme solicitation.
The initial purchasers in connection with Picard Groupe’s offering of €750 million 3.875% Sustainability-Linked Senior Secured Notes due 2026, Lion/Polaris Lux 4’s offering of €650 million Sustainability-Linked Floating Rate Senior Secured Notes due 2026 and Picard Bondco’s offering of €310 million 5.375% Sustainability-Linked Senior Notes due 2027.
Spa Holdings 3 Oy in connection with an offering of €350 million in euro-denominated high yield bonds and $305 million in dollar-denominated high yield bonds issued in connection with the acquisition of Ahlstrom-Munksjö Oy by Bain Capital.
The initial purchasers in connection with Pinewood Studios’ offering of £200 million 3.25% Senior Secured Notes due 2025.
The consortium led by Advent, Cinven and the RAG-Stiftung on the financing aspects of the acquisition of the elevator division of thyssenkrupp AG, including €6.7 billion of high yield bonds.

Citigroup and other placement agents on the $220 million qualified institutions’ placement by Edelweiss Financial Services Limited, a leading Indian financial services conglomerate.
The underwriters on the $1.5 billion (equivalent) initial public offering of The New India Assurance Company, one of the first general insurance IPOs in India.
RBL Bank Limited, one of India’s leading private sector banks, on its $250 million initial public offering.
The underwriters on the $70 million initial public offering off Quick Heal Technologies, a leading Indian security software solutions provider.
