Brian Greene is a debt finance partner in the Washington, D.C., office of Golden Flag International Law Firm Brian’s practice focuses on the representation of lenders, private equity funds, institutional investors, and multilateral and bilateral agencies in domestic and international project finance, energy and infrastructure projects, particularly in the United States and Latin America.

Energy and Infrastructure
- Generate Capital, PBC on its sale of two operational data centers in Granbury, Texas and Kearney, Nebraska to Marathon Digital Holdings, Inc. (NASDAQ: MARA).
- Trinity Gas Storage, a portfolio company of Transition Equity Partners, in a construction financing of a natural gas storage facility in Texas.
- Cypress Creek Renewables in the debt financing, tax equity financing and hedging arrangements for the 270MW Shakes solar energy project located in Dimmit County, Texas.
- LyondellBasell on definitive agreements with Sasol to form a 50/50 polyethylene joint venture through which LyondellBasell acquired 50 percent of select assets in Louisiana for a total consideration of $2 billion.
- Lenders in connection with the $3.4 billion Train 3 Refinancing for Freeport LNG.
- Lenders in connection with the $1.27 billion refinancing for Train 2 of the Freeport LNG Facility.
- Brookfield Super-Core Infrastructure Partners, an infrastructure fund managed by Brookfield Asset Management Inc. (Brookfield), on its agreement with Dominion Energy, Inc. to transfer a 25 percent equity interest in Cove Point to Brookfield in exchange for cash consideration of just over $2 billion.
- Brookfield Infrastructure in its $6.9 billion joint venture with Blackstone Infrastructure to acquire a 42% stake in Cheniere Energy Partners, L.P. (NYSE: CQP)
- Brookfield Infrastructure in connection with a $1 billion term loan B facility and a C$200 million revolving credit facility in the financing of the acquisition of natural gas gathering and processing businesses from Enbridge Inc. The business includes 19 natural gas processing facilities with total operating processing capacity of 3.3 Bcf/d and 3,550 kilometers of gathering pipelines, with connectivity to major demand markets including the U.S. Pacific Northwest, U.S. Midwest and Western Canada.
- Northstar Midstream, as joint venture owner in JAX LNG, in connection with the negotiation of offtake agreements and related joint venture arrangements.
- Chesapeake Energy Corp. in its approximately $2 billion, $925 new money million debtor-in-possession financing.
- Extraction Oil & Gas, Inc. in its $125 million, $50 million new money debtor-in possession financing.
- GenOn Energy, Inc. in connection with the renegotiation of certain of its leveraged leases and its comprehensive restructuring of its capital structure.
- Lenders on the US$4 billion financing for Train 2 of the Freeport LNG liquefaction project. The financing won three “IJGlobal Awards” recognizing deals of the year, receiving the “Overall Global,” “North America Oil & Gas” and “Overall North America” awards for 2014.*
- Lenders on the US$3.7 billion financing for Train 3 of the Freeport LNG project.*
- International Finance Corporation, Central American Bank For Economic Integration, Bancolombia, Banco General and Global Bank on the financing of the US$1 billion Colón LNG to Power Project in Panama, sponsored by The AES Corporation and Inversiones Bahía. The project is the largest combined–cycle power project (380 MW) and the first LNG import terminal to be built in Panama.*
- Lenders in the approximately US$2.3 billion financing of the 1,394 lMW Southland repowering project in Southern California sponsored by The AES Corporation.*
- First Reserve on the acquisition and financing of the Lackawanna Energy Center, a 1,485 MW natural gas-fired combined-cycle power plant located in Pennsylvania.*
- I Squared Capital in the US$1.3 billion acquisition of IC Power Ltd.'s Latin American and Caribbean electric power generation and distribution businesses from subsidiaries of Kenon Holdings Ltd.*
- Lenders in connection with the US$6 billion Phase II financing of the US$12 billion, four-Train Sabine Pass LNG liquefaction and export project located in Cameron Parish, Louisiana. The transaction was named “Americas Deal of the Year” by Project Finance International and “North America Midstream Oil & Gas Deal of the Year” by Project Finance Magazine.*
- Lenders in connection with the US$3.6 billion Phase I financing for the first two LNG trains at the Sabine Pass LNG Liquefaction and Export Project. The transaction was named 2012 “Deal of the Year, Americas” by Project Finance International, and 2012 “Overall North America Deal of the Year” by Project Finance Magazine.*
- Borrower on a US$220 million financing for the acquisition and development by Macquarie of a portfolio of landfill gas projects in Rhode Island and California.*
- The Bank of Nova Scotia and RBC Capital Markets on a financing of a portfolio of four power generation facilities and one coal pulverization facility associated with ArcelorMittal's steel plants in Indiana.*
Renewables Transactions
- Cypress Creek Renewables on a tax equity buyout and its refinancing of project-level debt for 92 MW of its solar energy portfolio across North Carolina.
- True Green Capital Management in a revolving credit facility with Investec to support the build-out of its distributed power generation portfolio.
- True Green Capital Management as borrower’s counsel in a back-leverage financing for C&I solar projects.
- Nomura Securities in a holdco financing of up to $60 million for a subsidiary of Recurrent Energy to secure ITC safe harbor equipment as part of Recurrent’s ITC start of construction strategy.
- Nomura Securities, as arranger, in the back-leverage portfolio financing of a portfolio of operating solar projects in Massachusetts and Vermont owned by Excelsior Energy Capital.
- Nomura Securities, as arranger, in the construction and back-leverage portfolio financing of solar projects in Massachusetts owned by a subsidiary of Excelsior Energy Capital.
- A private equity fund in the acquisition and financing of an SPV that has ownership rights to renewable energy credits generated by a portfolio of residential solar projects.
- Lead arranger and lender for the financing of the 100 MW Mustang solar project in Kings County, California, including an approximately US$173 million construction period facility and an approximately US$91 million back-leverage facility. The Mustang project was the first project of its size to be financed on the basis of power purchase agreements with community choice aggregators (CCAs).*
- Lead arrangers and lenders for the financing of the 157.5 MW Roserock solar project located in Pecos County, Texas, including an approximately US$266 million construction period facility and an approximately US$95 million back-leverage facility.*
- Lenders, led by The Royal Bank of Scotland, on a revolving financing for a portfolio of rooftop solar PV projects owned or to be acquired or developed by Constellation Energy.*
- Overseas Private Investment Corporation, the Inter-American Development Bank and Corpbanca in a US$155 million construction loan facility to finance the construction of the approximately 72.8 MW Maria Elena solar project in Chile.*
- International Finance Corporation and Overseas Private Investment Corporation in a US$212.5 million construction loan facility to finance the construction of the approximately 100.85 MW Amanecer Solar CAP solar project in Chile.*
- International Finance Corporation and Overseas Private Investment Corporation in an approximately US$100 million construction loan facility to finance the construction of the 50.7 MW San Andres merchant solar project in Chile.*
